Accomptant is an AI-powered financial planning and analysis platform designed for small and medium-sized businesses. The Service provides AI-generated financial insights, reporting, anomaly detection, forecasting, and analysis tools. The Service utilizes artificial intelligence and machine learning technologies to process and analyze financial data you provide.

3. AI-Generated Content Disclaimer

IMPORTANT — PLEASE READ CAREFULLY: The Service uses artificial intelligence to generate financial insights, recommendations, forecasts, anomaly alerts, and other outputs ("AI Outputs"). You expressly acknowledge and agree to the following:

Not Professional Advice: AI Outputs do not constitute financial, accounting, tax, legal, investment, or any other form of professional advice. AI Outputs are provided for informational and decision-support purposes only.
No Guarantee of Accuracy: AI technology is inherently probabilistic. AI Outputs may contain errors, inaccuracies, omissions, or outdated information. Accomptant makes no representation or warranty that any AI Output is accurate, complete, reliable, current, or error-free.
Human Review Required: You must independently verify all AI Outputs before making any financial, business, or operational decisions. You should consult with qualified financial advisors, accountants, or other licensed professionals before acting on any AI Output.
No Fiduciary Duty: Accomptant does not act as your financial advisor, accountant, auditor, or fiduciary in any capacity. No fiduciary relationship is created by your use of the Service.
User Responsibility: You assume sole and complete responsibility for any decisions, actions, or omissions based in whole or in part on AI Outputs. Accomptant shall bear no liability for any consequences arising from your reliance on AI Outputs.
AI Limitations: AI models may produce inconsistent results for similar inputs, may not account for all relevant factors, and may reflect biases present in their training data. AI Outputs should always be treated as a starting point for analysis, not a definitive conclusion.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

5. Your Data and Financial Information

You retain all ownership rights to the financial data, records, and information you upload to or create within the Service ("Your Data"). You grant Accomptant a limited, non-exclusive license to process Your Data solely for the purpose of providing the Service to you. We will not use Your Data for any purpose other than delivering the Service you have requested.

You represent and warrant that you have all necessary rights and authorizations to upload Your Data to the Service and that your use of the Service complies with all applicable laws and regulations.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Interfere with or disrupt the Service, servers, or connected networks

9. Subscription and Billing

Paid subscriptions are billed in advance on a monthly or annual basis as selected at the time of purchase. You may cancel your subscription at any time, and you will continue to have access until the end of your current billing period. No refunds will be issued for partial billing periods. Accomptant reserves the right to change pricing with 30 days' notice.

10. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL AI OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, Accomptant disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Without limiting the foregoing, Accomptant does not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) AI Outputs will be accurate, reliable, or complete; (d) any errors in the Service will be corrected; or (e) the Service will be compatible with any particular hardware or software.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACCOMPTANT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, data, or business opportunities
Financial losses resulting from reliance on AI Outputs
Business decisions made based on AI-generated insights or recommendations
Errors or inaccuracies in AI-generated forecasts, anomaly detection, or analysis
Tax, regulatory, or compliance consequences arising from use of the Service
Damages arising from unauthorized access to or alteration of your data
Any other losses arising from your use of or inability to use the Service

In no event shall Accomptant's total aggregate liability exceed the amount you paid to Accomptant in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Accomptant and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your reliance on AI Outputs; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice. Upon termination, your right to use the Service ceases immediately. You may request a copy of Your Data within 30 days of termination, after which we may delete it in accordance with our data retention policies.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes at least 30 days in advance via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised terms.
